Certified Copies in New York: What They Are, When You Need Them, and How to Get Them
A Certified Copy is an official, state-issued copy of a business document that carries the seal of the New York Department of State. It serves as legal proof of a company’s filings, formation, or other important documents.
Certified Copies are essential for legal, banking, compliance, and business purposes.
What is a Certified Copy?
A Certified Copy is identical to the original document filed with the NY Department of State but comes with an official seal or stamp verifying authenticity.
Common examples include:
- Certificates of Incorporation (Corporation)
- Articles of Organization (LLC)
- Certificate of Authority (Foreign entity authority)
- Certificates of Amendment
- Other filings recorded with the Division of Corporations
Certified copies are officially recognized for legal and governmental use, unlike plain copies.
Certified Copy vs. Plain Copy
NY DOS typically offers both:
- Plain copy: informational copy of a filing
- Certified copy: includes the state’s certification and is generally what banks/agencies ask for
Certified Copy vs. Certificate of Status (Good Standing)
These are often confused:
- A Certified Copy proves what a specific filed document says (for example, your Articles of Organization).
- A Certificate of Status (sometimes called “Good Standing”) confirms the entity’s current standing with the state (active/compliant).
If a bank or counterparty is unsure which one they want, ask them whether they need:
- proof of the formation document, or
- proof the entity is currently in good standing.
Who typically needs a Certified Copy?
Certified copies are commonly required when:
- Opening or updating a business bank account
- Applying for financing or working with investors
- Handling legal or contractual business requirements
- Registering as a foreign entity in another state
How to Obtain Certified Copies from NY DOS
NY DOS provides two main paths: online requests and written requests.
1) Ordering online (best for many post-1990 entities)
NY DOS allows document copies to be ordered online, and notes that electronic copies are available for entities formed/authorized on or after July 30, 1990.
If your entity is older than that—or if the document you need isn’t available electronically—you’ll typically use the written request process.
Important delivery note: NY DOS indicates copies are returned by first-class mail (and describes how to include a prepaid overnight label if you want overnight shipping). Although, you can order online, delivery is by mail.
2) Written Requests
