1) Acceptance of Terms

By placing an order on filingsage.com (“FilingSage,” “we,” “us,” “our”), you confirm that you have read, understood, and agree to these Terms of Service & Disclaimer.

2) Nature of Service (Not a Government Agency; No Legal Advice)

FilingSage is a private, third-party document-retrieval service. We are not affiliated with, endorsed by, or operated by any federal, state, or local government agency.
We obtain Certificates of Good Standing and certified copies of corporate/LLC filings and related records from Secretaries of State and similar offices in New York and select other U.S. jurisdictions.
We are not a law firm and do not provide legal, tax, or accounting advice. Information on this site is for general informational purposes only.

3) Customer Responsibility & Authorization

You represent that all information you provide to FilingSage is true, complete, and accurate, and that you are duly authorized to request documents for the entity named in your order.
You authorize FilingSage to submit requests to government agencies on your behalf. To reduce agency rejections, we may make minor clerical/formatting corrections (e.g., punctuation, standardized entity suffixes) where obvious.

4) Processing Times & Delivery

Processing times shown on the site are estimates, not guarantees, and may vary due to agency workload, system outages, holidays, or compliance checks beyond our control.
Unless otherwise stated, deliverables are provided electronically by email to the address you supply during checkout. If an agency issues only paper records, we will advise next steps.

5) Pricing & Payment

Prices are displayed at checkout. Any government or third-party fees are included or itemized as indicated at purchase. Payment is due at the time of order.

6) Refunds, Returns & Cancellations (All Sales Final)

Because document requests begin processing quickly and may incur non-recoverable government fees, all sales are final. No returns or refunds are available for digital or electronically delivered items, whether or not the issuing agency ultimately releases the requested document.
Please review your entity details and order carefully before submitting. If you believe you made an error, contact orders@filingsage.com immediately—while we’ll try to help, we cannot promise changes or cancellations once submitted.

7) Rejections & Non-Issuance

Government agencies may refuse to issue documents for reasons including (without limitation) the entity not being in good standing, being misidentified, or statutory restrictions. Our fee covers our processing effort; no refund is due if an agency rejects or cannot fulfill a request for reasons outside our control.

8) Communications

You consent to receive service-related communications (order confirmations, status updates, document deliveries, and follow-ups) at the email address you provide.

9) Privacy & Security (Summary)

We use your information only to fulfill and support your order. We do not sell your information. Passwords, if any are used, are stored encrypted. We apply reasonable administrative, technical, and physical safeguards to protect your data. (If you maintain a separate, full Privacy Policy, link it from here.)

10) Limitation of Liability

To the maximum extent permitted by law, FilingSage and its owners, officers, employees, agents, and affiliates shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages. Our aggregate liability for any claim relating to your order shall not exceed the amount you paid to FilingSage for that order.

11) Indemnification

You agree to indemnify, defend, and hold harmless FilingSage and its affiliates from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your misuse of our services; (b) your breach of these Terms; or (c) your violation of applicable law.

12) Changes to These Terms

We may update these Terms from time to time. The “Last updated” date above reflects the most recent version. Your continued use of the site after changes are posted constitutes acceptance of the revised Terms.
